The rules of the road.

These Terms cover what KleioBase does, what you can and cannot do with it, who owns what, and what happens if something goes wrong. Plain language, no hidden gotchas.

Section 1

Introduction

Welcome to KleioBase. These Terms of Service (the “Terms”) govern your access to and use of the KleioBase platform, the website at kleiobase.com, and all related services (collectively, the “Service”), operated by Itamar Denkberg (“we,” “us,” or “our”), a sole proprietor based in Israel.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms should be read together with our Privacy Policy and Refund Policy, which are incorporated by reference.

If you require a Data Processing Agreement (DPA) for your use of KleioBase (for example, if you are processing personal data of EU/EEA residents in an organizational capacity), please contact us at [email protected] to request one.

Section 2

Eligibility

You must be at least 16 years old to use KleioBase. By creating an account, you represent that you are at least 16 years of age.

We chose 16 as a single global minimum because it satisfies the strictest age threshold across every jurisdiction we serve (the EU GDPR default age of digital consent, the CCPA/CPRA opt-in age for sale-or-sharing of personal information, and equivalent thresholds in the UK, Australia, Canada, New Zealand, and Israel).

If you are between 16 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Section 3

Your account

3.1 Account creation

You may create an account using an email address and password, or by signing in through a supported OAuth provider (Google, GitHub, or Apple). You are responsible for providing accurate information during registration.

3.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

3.3 One account per person

Each individual may maintain only one KleioBase account. Operating multiple accounts may trigger our abuse-detection systems and result in account suspension.

3.4 Identity verification

For certain features (for example, claiming a Founders Lifetime slot, resolving payment disputes, or responding to a third-party privacy request), we may request additional information to verify your identity. We will only use that information for the stated verification purpose.

Section 4

The Service

4.1 What KleioBase does

KleioBase is a genealogy research platform that lets you upload historical documents (photographs and scanned records), have them processed by artificial intelligence to extract structured genealogical data (names, dates, places, relationships), organize that data into a knowledge base, and explore connections across your family history.

The Service also includes an AI-powered Research Companion - a conversational assistant that can search and read your knowledge base, answer questions about your records and profiles, compare individuals, identify potential connections, and assist with your genealogical research. The Research Companion is subject to per-plan usage limits (see Section 9).

4.2 Service availability

KleioBase is currently in public beta. We strive to keep the Service available, but we do not guarantee any specific level of uptime or availability. We may experience downtime for maintenance, updates, or unforeseen technical issues.

We provide no Service Level Agreement (SLA) during the beta period or on free-tier plans, and we do not offer service credits, refunds, or any other compensation for downtime, performance issues, or feature unavailability during beta.

4.3 Service modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

4.4 Beta program

While the Service is in beta, the following additional terms apply:

  • Features, limits, pricing, and the user interface may change frequently and without prior notice.
  • Beta features may contain defects, generate inaccurate results, or be removed entirely. You use them at your own risk.
  • We may collect additional usage data during beta to diagnose issues and improve the Service, as described in our Privacy Policy.
  • When the Service exits beta, the post-beta Terms, pricing, and feature scope may differ. We will give you reasonable notice before any change that affects an active paid subscription.

Section 5

AI-generated content

5.1 How AI processing works

When you upload a document, it is sent to a third-party AI service (Google Gemini API) for text extraction and data analysis. The AI identifies and structures information such as names, dates, places, and relationships found in the document.

The Research Companion also uses the Google Gemini API to provide conversational research assistance. When you interact with the Research Companion, your messages and relevant knowledge base context are transmitted to Google for processing.

5.2 Accuracy disclaimer

AI-extracted data may contain errors. The AI may misread handwriting, misinterpret document structure, assign incorrect relationships, or produce other inaccuracies. All AI-generated results are placed in a “review” state by default and require your manual confirmation before being treated as verified.

You are solely responsible for reviewing and verifying all AI-extracted data. We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated outputs, including responses from the Research Companion.

KleioBase does not provide genealogical conclusions. The Service assists your research by extracting data from documents. It does not certify lineage, prove identity, or establish legal relationships. Do not rely on AI-extracted data for legal, financial, medical, or immigration purposes without independent verification by a qualified professional.

5.3 AI data handling

Documents you upload and Research Companion conversations are transmitted to Google’s Gemini API for processing. Under Google’s paid API terms, your data is not used to train or improve Google’s AI models. Google retains submitted data for 55 days solely for abuse-monitoring purposes. For more details, see our Privacy Policy.

Section 6

Your content and data

6.1 Ownership

You own your content. You retain all rights, title, and interest in the documents you upload, the data you enter, and the corrections and annotations you make.

AI-extracted data: Structured data generated by our AI from your uploaded documents is considered a derivative of your content. You own the extracted data and may export it at any time.

We do not claim ownership of your data. We will never sell, license, or otherwise commercialize your uploaded documents or extracted data.

6.2 License to process

By uploading content to KleioBase, you grant us a limited, non-exclusive, worldwide license to host, store, transmit, and process your content solely for the purpose of providing and improving the Service. This includes transmitting your documents to third-party AI services for extraction and providing your knowledge base data as context to the Research Companion.

This license terminates when you delete your content or your account (subject to the retention periods described in our Privacy Policy).

6.3 Third-party data in your records

Genealogical records frequently contain personal data about individuals other than you - including potentially living individuals. By uploading such records, you represent and warrant that:

  • You have a lawful basis for uploading and processing records containing third-party personal data (such as a legitimate interest in family history research)
  • You will not knowingly upload records in a manner that violates the privacy rights of living individuals
  • You accept responsibility for ensuring that your use of the Service complies with applicable privacy laws in your jurisdiction

If a third party contacts us to exercise their privacy rights regarding data contained in your uploads, we may be required by law to restrict access to or delete certain data. We will notify you if this occurs.

6.4 Backup responsibility

We make commercially reasonable efforts to preserve your data, but you are responsible for maintaining your own backups of any content you upload or generate on KleioBase. The Service’s export tools (described in Section 11) are provided for this purpose. We are not liable for loss of your content, AI-extracted data, or knowledge base entries arising from hardware failure, software defects, deletions (including accidental deletions you initiate), account termination, or third-party service outages.

Section 7

Acceptable use

7.1 Permitted use

KleioBase is designed for personal and family genealogical research. You may use the Service to upload, process, organize, and explore historical family records and related documents.

7.2 Prohibited conduct

You agree not to:

  • Upload content that is illegal, defamatory, obscene, harassing, or that violates the rights of others (including copyright, trademark, privacy, and publicity rights)
  • Upload content unrelated to genealogical or historical research (the Service is not a general-purpose document storage or AI processing tool)
  • Impersonate another person or misrepresent your affiliation with any person or organization
  • Attempt to circumvent rate limits, usage quotas, abuse-detection systems, or other technical safeguards
  • Use automated scripts, bots, scrapers, or tools to access the Service in a manner that exceeds reasonable human usage patterns
  • Attempt to extract, reverse-engineer, decompile, or exploit the AI processing pipeline for purposes unrelated to your genealogical research (except where such restriction is prohibited by applicable law, such as for interoperability or accessibility under EU law)
  • Attempt prompt injection, jailbreaking, or manipulation of the AI Research Companion
  • Share, resell, sublicense, or otherwise transfer your account access to others
  • Interfere with, disrupt, probe, or place an unreasonable burden on the Service or its infrastructure
  • Use the Service in any manner that violates applicable laws, regulations, or third-party agreements

7.3 Upload restrictions

You may upload images in JPEG and PNG format only, up to 10 MB per file. Uploads are subject to per-plan monthly limits (see Section 8) and rate limiting. Rapid bursts (for example, 30 or more uploads within 60 seconds) may trigger a temporary cooldown.

7.4 Export controls and sanctions

The Service relies on AI processing performed by US-origin services (Google Gemini), and other infrastructure that may be subject to US export-control and economic-sanctions laws. By using KleioBase, you represent and warrant that:

  • You are not located in, ordinarily resident in, or accessing the Service from any country, territory, or region subject to comprehensive US trade sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
  • You are not listed on any US, UK, EU, or UN restricted-party list, including the US Treasury Department’s Specially Designated Nationals (SDN) list.
  • You will not use the Service in violation of any applicable export-control or sanctions law.

We may suspend or terminate your account if we determine, in our reasonable judgment, that continued service would expose us to liability under any of these laws.

7.5 Investigation and cooperation

We reserve the right (but have no obligation) to investigate suspected violations of these Terms, including by reviewing account activity, usage patterns, and content stored on the Service. Where appropriate, we may cooperate with law-enforcement authorities or other third parties in the investigation of suspected unlawful conduct (see also Section 15).

Section 8

Subscription plans, billing, and credits

8.1 Plans

KleioBase offers four subscription tiers:

  • Explorer (Free): Basic access with limited uploads, profiles, and AI companion usage.
  • Researcher ($15 / month or $129 / year): Expanded limits, profile matching, gap detection, GEDCOM import, and GEDCOM + PDF export.
  • Archivist ($29 / month or $249 / year): Higher limits, batch upload, and read-only collaboration.
  • Professional ($49 / month or $399 / year): Highest limits, edit-access collaboration, API access, and white-label PDF report export.

Full feature comparison is available on our Pricing page. We reserve the right to change pricing and per-plan limits at any time. If you are on a paid plan, price changes will take effect at the start of your next billing cycle. We will notify you in advance of any price increase.

8.2 Founders Lifetime deal

A limited number of Founders Lifetime subscriptions (capped at 100) are available at a one-time price of $199, providing permanent Researcher-tier access. Founders who later upgrade to Archivist or Professional receive grandfathered discounted pricing. The Founders deal is a one-time purchase and is subject to the terms in our Refund Policy.

8.3 Pay-as-you-go credits

You may purchase additional upload credits (“PAYG credits”) that apply when you exceed your plan’s monthly upload limit. Credits are sold in packs (50, 150, or 500 credits) at tiered pricing. Credits do not expire and carry over between billing periods. PAYG credits are non-refundable once purchased except as described in our Refund Policy.

A standard document upload counts as one upload (or one credit once you are over your monthly limit). Some optional, more thorough processing modes count as more than one — for example, an opt-in “deep scan” that re-reads a document several times with a more capable AI model for higher accuracy currently counts as five. The number of uploads or credits a mode uses is shown before you run it, and these modes are always your choice; standard processing is the default.

8.4 Payment processing

All payments are processed by Freemius, which acts as the Merchant of Record. Freemius collects and manages all payment information (credit card numbers, billing addresses) directly. We never receive or store your payment method details. Your payment relationship for billing purposes is with Freemius, subject to Freemius’s terms of service.

8.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription remains active until the end of the current billing period. After that, your account reverts to the Explorer (free) tier. Founders who cancel revert to the Researcher tier (not Explorer).

8.6 Plan changes and downgrades

Upgrades take effect immediately and grant access to the higher tier’s features for the remainder of the billing period (with prorated billing applied by Freemius).

Downgrades take effect at the start of your next billing cycle. If your content exceeds the lower tier’s limits at the time the downgrade takes effect (for example, you have 5,000 person profiles on Archivist and downgrade to Researcher, which is capped at 2,000):

  • Your existing data is preserved. We do not delete profiles or records on downgrade.
  • You retain read access to all existing content above the cap.
  • Write operations that would create new content (new uploads, new profiles, additional collaborators) are paused until your count is within the new plan’s limit, or until you upgrade.

Section 9

Fair-use policy and rate limits

To ensure a reliable experience for all users, the Service enforces usage limits including:

  • Monthly upload limits per subscription tier
  • API rate limits across all endpoints (varying by endpoint sensitivity)
  • AI companion token budgets - each tier has a token allowance within a rolling 3-hour window. Usage resets continuously; if you reach your budget, you can continue after the window passes.
  • Concurrent request limits on AI processing

Exceeding these limits may result in temporary throttling (HTTP 429 responses) or temporary cooldown periods. Persistent or deliberate circumvention of usage limits may result in account suspension.

9.1 Abuse detection

We employ automated systems to detect abusive usage patterns, including but not limited to: excessive upload bursts, prompt-injection attempts against the AI companion, account sharing across multiple concurrent sessions, and sustained maximum-budget AI usage. Detected abuse may result in automated flags, temporary restrictions, or - in severe cases - account suspension after review.

Section 10

Collaboration features

KleioBase offers collaboration features on eligible plans that allow you to share your knowledge base with other users:

  • Read-only collaboration (Archivist and Professional plans): Invite others to view your knowledge base.
  • Edit-access collaboration (Professional plan): Invite others to view and edit your knowledge base.

You are responsible for managing who has access to your shared knowledge base. Revoking an invitation immediately removes the invited user’s access. Edits and contributions made by a collaborator before revocation remain in the knowledge base unless the owner manually removes them - revoking access removes the person’s ability to view or edit, but does not automatically undo their prior contributions.

Collaboration features are currently being developed and may not be fully available during the beta period.

Section 11

Data export and portability

You may export your genealogical data in the following formats, subject to your plan’s feature availability:

  • Personal data export (all plans): A full ZIP archive of all personal data KleioBase holds about you - account information, records, people, families, matches, Research Companion history, and your original file uploads - is available at any time from Settings - Import / Export. No plan restriction applies. We email you a download link when the archive is ready.
  • GEDCOM 7 export (Researcher plan and above): Export your family tree data in the industry-standard GEDCOM format.
  • PDF research reports (Researcher plan and above): Generate formatted research reports with cover pages, family group sheets, timelines, and source citations.
  • White-label PDF reports (Professional plan): Same PDF exports with your own branding instead of KleioBase branding.

We are committed to data portability and will not hold your data hostage. If you need assistance exporting your data in a format not currently supported, contact us at [email protected]. See also Section 6.4 on your backup responsibility.

Section 12

Account termination

12.1 Termination by you

You may stop using the Service and delete your account at any time. Account deletion and knowledge-base data clearing are available as self-service actions at Settings - Account. Deletion is processed immediately and erases your data from our database, file storage, email delivery systems, and analytics, and cancels any active Freemius subscription. See our Privacy Policy (Section 9) for full details of what deletion covers and which data is retained for legal or tax purposes. You may also contact us at [email protected] if you need assistance.

12.2 Termination by us

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use policy
  • Your account is flagged by our abuse-detection systems and you do not resolve the issue after notification
  • We are required to do so by law or by a binding order of a competent authority
  • Continued service would expose us to liability under export-control or sanctions law (see Section 7.4)
  • The Service is discontinued

Where possible, we will provide reasonable notice before termination and give you an opportunity to export your data. In cases of severe abuse or legal requirement, we may terminate access immediately. Termination for cause does not entitle you to a refund except as set out in our Refund Policy.

12.3 Inactive accounts

We may, after written notice to your email address on file and a reasonable grace period, deactivate or delete free-tier accounts that have shown no sign-in activity for at least 24 months. Paid accounts are not subject to inactivity deletion while the subscription is active.

12.4 Effect of termination

Upon account termination, your right to use the Service ceases. We will retain and delete your data in accordance with the retention periods described in our Privacy Policy. Certain data (such as payment records and abuse-flag history) may be retained as required by law or to defend legal claims.

Section 13

Intellectual property

13.1 Our intellectual property

KleioBase, including its design, code, AI processing pipeline, algorithms, documentation, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described here.

13.2 Trademarks

“KleioBase,” the KleioBase logo, and related marks are our trademarks. You may not use them without our prior written permission, except for nominative fair use (for example, accurately referring to the Service in news, reviews, or comparative discussion). All other trademarks, service marks, and logos used on the Service are the property of their respective owners.

13.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without obligation to you.

13.4 Third-party services

The Service may link to or rely on third-party services (for example, Freemius for checkout, Mapbox for geocoding, OAuth providers for sign-in, and Linear for triaging feedback you submit). We are not responsible for the content, accuracy, security, or practices of third-party services, and your use of them is governed by their own terms.

Section 14

Copyright and DMCA takedown

We respect the intellectual property rights of others and ask our users to do the same. If you believe that content stored on KleioBase infringes your copyright, you may submit a notice of claimed infringement. We accept notices that follow the form prescribed by the US Digital Millennium Copyright Act (17 U.S.C. § 512(c)), and equivalent notices under the laws of other jurisdictions.

14.1 Notice of claimed infringement

Your notice must include:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing, with sufficient detail (such as a URL or record identifier) to enable us to locate it;
  • Your contact information (name, address, telephone number, email);
  • A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

14.2 Where to send notices

Send copyright notices to [email protected] with the subject line “DMCA Notice.” Notices that materially misrepresent that content is infringing may subject you to liability under 17 U.S.C. § 512(f).

14.3 Counter-notice

If your content has been removed in response to a copyright notice and you believe the removal was the result of mistake or misidentification, you may submit a counter-notice to the same address. Your counter-notice must include your physical or electronic signature, identification of the removed material and its prior location, a statement under penalty of perjury that you have a good-faith belief the removal was a mistake, your contact information, and a statement consenting to the jurisdiction of the courts described in Section 19.

14.4 Repeat infringers

We reserve the right to suspend or terminate the accounts of users who are determined, in our reasonable judgment, to be repeat infringers.

Section 15

We may disclose information about you and your use of the Service when we believe in good faith that disclosure is required to:

  • Comply with applicable law, regulation, legal process (such as a subpoena or court order), or a binding request from a government or law-enforcement authority;
  • Enforce these Terms, including investigating potential violations;
  • Detect, prevent, or address fraud, security, or technical issues; or
  • Protect against harm to the rights, property, or safety of KleioBase, our users, or the public, as required or permitted by law.

Where permitted by law and operationally feasible, we will provide you with notice of any legal request affecting your account so that you have the opportunity to challenge it. We may also place a legal hold on your data if required to preserve it for actual or anticipated legal proceedings, overriding routine deletion schedules for the duration of the hold.

Section 16

Disclaimers

16.1 “As is” and “as available”

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

16.2 AI output disclaimer

We do not warrant that AI-extracted data or Research Companion responses will be accurate, complete, or error-free. AI outputs are suggestions for your review, not verified facts. You assume all risk associated with your use of and reliance on AI-generated content.

16.3 Genealogical research disclaimer

KleioBase is a research tool, not a certified genealogical service. We do not verify lineage, certify identity, or provide legally binding genealogical conclusions. Any genealogical information obtained through the Service should be independently verified.

16.4 No professional advice

Nothing in the Service constitutes legal, financial, medical, immigration, or other professional advice. Consult qualified professionals before making decisions based on information obtained through KleioBase.

Section 17

Limitation of liability

To the maximum extent permitted by applicable law:

  • Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of genealogical research, regardless of the cause of action.
  • We shall not be liable for any damages arising from your reliance on AI-generated content, errors in AI extraction, or inaccuracies in genealogical data.

These limitations apply regardless of whether we have been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

Section 18

Indemnification

You agree to indemnify, defend, and hold harmless KleioBase and its operator from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your uploading of content that infringes the rights of third parties or violates applicable law
  • Your reliance on AI-generated content
  • Third-party claims related to personal data of living individuals contained in records you uploaded

Section 19

Dispute resolution

19.1 Informal resolution

Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

19.2 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

19.3 Jurisdiction

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel.

19.4 Class-action waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

19.5 California user notice (Cal. Civ. Code § 1789.3)

Under California Civil Code Section 1789.3, California users are entitled to the following consumer-rights notice: complaints regarding the Service may be filed in writing with our team at [email protected], or with the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Note for EU/EEA consumers: If you are a consumer in the European Union or European Economic Area, nothing in this section deprives you of the protection of mandatory consumer protection laws of your country of residence, including your right to bring claims in your local courts.

Note for Australian consumers: Nothing in these Terms is intended to exclude, restrict, or modify rights that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

Section 20

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the “Last updated” date at the top
  • Notify you by email or through a prominent notice on the website
  • Give you at least 30 days’ notice before material changes take effect

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may stop using the Service and request account deletion.

Section 21

General provisions

21.1 Entire agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and KleioBase regarding the Service.

21.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

21.3 No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

21.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction (including in connection with a merger, acquisition, or sale of assets), provided that the assignee agrees to be bound by these Terms.

21.5 Force majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

21.6 Survival

Provisions that by their nature should survive termination of these Terms will survive, including (without limitation): Section 6 (Your content and data) with respect to license and ownership; Section 13 (Intellectual property); Section 16 (Disclaimers); Section 17 (Limitation of liability); Section 18 (Indemnification); Section 19 (Dispute resolution); and this Section 21.

21.7 Notices

Legal notices to you will be sent to the email address associated with your account, and you are responsible for keeping that address current. Legal notices to us must be sent in writing to [email protected]. Notice is deemed given on the date of email transmission, provided no delivery-failure notice is received.

21.8 Language

These Terms are written in English. Any translations are provided for convenience only; if there is any inconsistency, the English version controls.
